Terms of Service

PLEASE READ THESE TERMS CAREFULLY BEFORE USING PATHFINDER. BY INSTALLING, ACCESSING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
1. Definitions
- "Service" means the PathFinder software, including the Google Workspace Marketplace add-on, the Vercel Edge proxy, the Apps Script library, all APIs, documentation, and supporting infrastructure.
- "User," "You," "Your" means any individual or entity that installs, accesses, or uses the Service.
- "We," "Us," "Our," "PathFinder" means the PathFinder team and its operators.
- "AI Tool" means any third-party artificial intelligence application that connects to the Service via MCP, including but not limited to Claude Desktop, Cursor, Windsurf, and Cline.
- "Proxy Token" means the authentication credential issued to you for accessing the Service.
2. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. The organization accepts these Terms.
3. Account Registration
- You must provide accurate, current, and complete information during registration.
- You are solely responsible for maintaining the confidentiality of your Proxy Token, account credentials, and any activity that occurs under your account.
- You must notify us immediately of any unauthorized use of your account or Proxy Token.
- We are not liable for any loss arising from your failure to secure your credentials.
4. Subscription and Payment
- The Service requires a paid subscription at the rate published at the time of purchase, currently USD $5.00 per month.
- Payment is processed by LemonSqueezy. By subscribing, you also agree to LemonSqueezy's Terms of Service.
- Subscriptions renew automatically at the start of each billing cycle unless canceled before the renewal date.
- You may cancel at any time. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial billing periods.
- Refund requests must be submitted within 7 days of the initial purchase. After 7 days, all payments are non-refundable.
- We reserve the right to modify pricing with 30 days written notice to existing subscribers. Continued use after the price change date constitutes acceptance of the new pricing.
- If payment fails, we may suspend your access until the outstanding balance is resolved. Accounts with payment failures exceeding 14 days may be terminated.
5. License Grant
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service for its intended purpose. This license does not include the right to:
- Copy, modify, distribute, sell, lease, or sublicense the Service or any part thereof.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
- Remove, alter, or obscure any proprietary notices in the Service.
- Use the Service to build a competing product or service.
6. Acceptable Use
You agree NOT to use the Service to:
- Violate any applicable local, state, national, or international law or regulation.
- Access, modify, or delete data in spreadsheets you are not authorized to access.
- Circumvent, disable, or interfere with rate limits, permission tiers, code validation, or any security feature of the Service.
- Execute code designed to damage, disrupt, overload, or gain unauthorized access to any system, network, or data.
- Transmit viruses, malware, or any other malicious code through the Service.
- Use the Service for spam, phishing, social engineering, or fraud.
- Scrape, data mine, or systematically extract content from the Service.
- Share your Proxy Token with unauthorized parties or publish it in any public forum, repository, or documentation.
- Resell, white-label, or redistribute the Service or access to it without our express written consent.
- Use the Service in any manner that could damage our reputation or goodwill.
We reserve the right to suspend or terminate your account immediately, without notice or refund, for any violation of this section.
7. AI-Generated Actions — Assumption of Risk
YOU ACKNOWLEDGE AND AGREE THAT:
- The Service enables AI Tools to execute code in your Google account. The code is generated by your AI Tool, not by PathFinder.
- PathFinder validates code against a security blocklist and enforces permission tiers, but does not and cannot guarantee that AI-generated code will be correct, safe, or produce intended results.
- You are solely responsible for all actions performed by your AI Tool through the Service, including but not limited to data modifications, deletions, email sending, and automation creation.
- PathFinder provides an undo buffer and dry-run mode as convenience features. These are provided "as-is" without warranty and may not recover all changes in all scenarios.
- You should use the minimum permission tier necessary for your use case and review AI-generated operations on sensitive or critical data before execution.
- You release PathFinder from any and all claims arising from actions performed by your AI Tool through the Service.
8. Data Ownership
- You retain all ownership rights to your spreadsheet data and content within your Google account.
- PathFinder does not claim any ownership, license, or rights over your data.
- You grant PathFinder a limited right to process request metadata (timestamps, tool names, success/failure status) for the purpose of operating, maintaining, and improving the Service.
9. Intellectual Property
The Service, including all software, code, documentation, APIs, designs, logos, trademarks, and trade secrets, is the exclusive property of PathFinder and is protected by applicable intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you except the limited license in Section 5.
10. Third-Party Services
The Service relies on third-party infrastructure including Google (Apps Script, Sheets), Vercel, Supabase, and LemonSqueezy. You acknowledge that:
- We are not responsible for the availability, performance, or policies of third-party services.
- Your use of Google services is governed by Google's Terms of Service.
- Outages, changes, or discontinuation of third-party services may affect the Service, and we bear no liability for such events.
11. Service Availability
- We provide the Service on an "as available" basis and do not guarantee any specific uptime, availability, or performance level.
- We may modify, suspend, or discontinue any part of the Service at any time. For material changes, we will provide 30 days notice when commercially reasonable.
- Scheduled maintenance will be communicated in advance when possible.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
- ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR CORRECTNESS OF AI-GENERATED CODE EXECUTED THROUGH THE SERVICE.
- ANY WARRANTY REGARDING THE PRESERVATION OR INTEGRITY OF YOUR DATA.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- PATHFINDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, including but not limited to damages for loss of profits, data, goodwill, business opportunity, or revenue, regardless of whether we were advised of the possibility of such damages.
- PATHFINDER SHALL NOT BE LIABLE FOR ANY DAMAGE TO YOUR SPREADSHEETS, DATA LOSS, DATA CORRUPTION, OR UNINTENDED MODIFICATIONS resulting from AI-generated code executed through the Service.
- OUR TOTAL AGGREGATE LIABILITY for all claims arising from or related to these Terms or the Service shall not exceed the lesser of: (a) the total fees paid by you in the three (3) months immediately preceding the event giving rise to the claim, or (b) USD $15.00.
- The limitations in this section apply regardless of the legal theory, whether in contract, tort (including negligence), strict liability, or otherwise.
14. Indemnification
You agree to indemnify, defend, and hold harmless PathFinder, its operators, affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of the Service.
- Actions performed by your AI Tool through the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Your violation of any third party's rights, including intellectual property rights or privacy rights.
- Any claim by a third party related to data in your Google account that was accessed or modified through the Service.
15. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
- Binding Arbitration: Any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved through final and binding arbitration, rather than in court, except that either party may seek injunctive or equitable relief in court for intellectual property infringement.
- Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against PathFinder.
- Small Claims Exception: Either party may bring qualifying claims in small claims court.
- Informal Resolution First: Before initiating arbitration, you agree to first contact us at support@pathfinder-mcp.com and attempt to resolve the dispute informally for at least 30 days.
16. Termination
- By You: You may terminate by canceling your subscription and uninstalling the add-on.
- By Us: We may suspend or terminate your account immediately, without notice, for violation of these Terms, non-payment, fraudulent activity, or any reason at our sole discretion.
- Effect of Termination: Upon termination, your license to use the Service is immediately revoked. Your Proxy Tokens are invalidated. Account data is deleted per our Privacy Policy.
- Survival: Sections 7 (Assumption of Risk), 9 (Intellectual Property), 12 (Disclaimer), 13 (Limitation of Liability), 14 (Indemnification), 15 (Arbitration), and this survival clause shall survive termination.
17. Force Majeure
PathFinder shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet disruptions, third-party service outages (including Google, Vercel, Supabase, and LemonSqueezy), cyberattacks, or labor disputes.
18. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 14 days before taking effect. Non-material changes take effect immediately upon posting. Your continued use of the Service after any modification constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, your sole remedy is to terminate your account.
19. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed. All remaining provisions shall continue in full force and effect.
20. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and PathFinder regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
21. No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by PathFinder.
22. Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
23. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
